TERMS AND CONDITIONS
FOR THE PUBLIC AUCTION
OF THE CATEGORY IV LICENCE (licence to serve alcoholic beverages)
Pursuant to the simplified judicial liquidation proceedings
SARL NAMA – Trading as NAMA, 225 Place Emile Mercier, 777186 NOISIEL
Terms and conditions for the public auction of a Category IV licence (for the serving of alcoholic drinks) formerly operated in NOISIEL 77186 and forming part of the judicial liquidation of SARL NAMA, operating under the name ‘Le NAMA’, 225 Place Emile Mercier, 777186 NOISIEL, which was placed in judicial liquidation by the Commercial Court of MEAUX by order dated 22 June 2026, with SELARL ARPEJ acting as liquidator, of 55, rue Aristide Briand, 77100 MEAUX.
We, the undersigned, SELARL Jérôme TRUCHETET et associés, Judicial Auctioneers in SERRIS, with registered office at 2, avenue Christian Doppler, 77700 SERRIS.
As part of the simplified judicial liquidation proceedings, at the request of and with the consent of SELARL ARPEJ, the judicial liquidator,
we have drawn up these terms and conditions setting out the clauses and conditions for the auction of a Licence IV, forming part of the aforementioned simplified judicial liquidation.
I – DESCRIPTION OF THE SUBJECT OF THE SALE
The Licence IV was attached to an establishment operated by Mr Malek MEZIANI in his capacity as manager of SARL NAMA – Le NAMA, 225 Place Emile Menier, 77186 NOISIEL
The items offered for sale include the valid and operational licence, which is transferable in accordance with the provisions of Article 47 of Law No. 2019-1461 of 27 December 2019 and Article L3332-11 of the Public Health Code: “An operating on-licence may be transferred within the department in which it is situated. Applications for authorisation to transfer must be submitted to the State representative in the department. The mayor of the municipality where the licensed premises is situated and the mayor of the municipality to which it is being transferred must be consulted. Where a municipality has only one Category 4 on-licensed premises, that premises may only be transferred with the favourable opinion of the mayor of that municipality.
"Notwithstanding the first paragraph, a licensed premises serving alcohol for consumption on the premises may be transferred to a neighbouring department to that in which it is situated, subject to the conditions set out in the first paragraph. Applications for authorisation to transfer a licence shall be submitted to the State representative in the department to which the licensed premises is to be transferred. A licensed premises transferred pursuant to the first sentence of this sub-paragraph may only be transferred to a new department after a period of eight years.
"Notwithstanding the first subparagraph of this Article and Article L. 3335-1, licences for drinking establishments serving alcohol for consumption on the premises may be transferred beyond the boundaries of the department in which they are situated to establishments, in particular tourist establishments, meeting criteria laid down by decree.”
The purchaser must complete the following formalities in accordance with the provisions of Article
L.3332-4 of the Public Health Code:
- a declaration at the Town Hall or, for PARIS, at the Prefecture of Police, 15 days in advance of the transfer of the licence to the new business.
- a tax declaration of this transfer to be submitted to the main Customs office.
II – HISTORY OF OWNERSHIP:
The Category IV licence was previously operated by Mr Jean Malek MEZIANI in his capacity as manager of the SARL ‘NAMA’, 225 Place Emile Menier, 77186 NOISIEL
III – STARTING PRICE:
The aforementioned Category IV licence will be put up for sale with a reserve price of FIVE THOUSAND euros (5,000 euros).
IV – VENUE AND DATE OF THE AUCTION:
The auction will take place on 21 July 2026 at 10.00 am at the premises of SELARL JEROME TRUCHETET ET ASSOCIES, 2 Avenue Christian Doppler, 77700 SERRIS.
V – PAYMENT OF THE SALE PRICE:
The successful bidder shall be required to pay the auction price, together with all fees, duties and ancillary charges, in cash, immediately to SELARL Jérôme TRUCHETET et associés by bank transfer or credit card.
VI – TERMS AND CONDITIONS OF THE AUCTION:
The auction shall take place subject to the following terms and conditions:
- OWNERSHIP AND POSSESSION:
This transfer of ownership shall take effect from the date of the auction.
The successful bidder shall undertake all necessary formalities, in particular with the local council of the place of departure, the local council of the place of arrival, the Prefecture of the place of arrival and the main Customs office.
For its part, the aforementioned liquidation proceedings shall provide the authorities with any supporting documents they may request in order to formalise the transfer of the licence.
Upon expiry of the 15-day period following these declarations, the successful bidder shall have full disposal of and the right to use the licence hereby transferred, which they may operate in accordance with the laws and regulations in force.
- TERMS AND CONDITIONS:
- From the date of transfer of the licence to their name, the purchaser shall pay in full all taxes that may be due in respect of the licence in question.
- The conditions relating to nationality, legal capacity and good character which the successful bidder must satisfy are, in particular, as follows:
" either be a French national
" or be a national of a country within the European Economic Area (EEA)
" or be a national of a country that has concluded a reciprocity treaty with France (Algeria, Andorra, Canada, the Central African Republic, Congo-Brazzaville, the United States, Gabon, Iran, Mali, Monaco, Senegal, Switzerland and Togo).
" be of legal age or an emancipated minor
" not be under guardianship
" not have been convicted of certain offences, in particular for a criminal offence or procuring (permanent disqualification), or for theft, fraud or breach of trust.
- PAYMENT OF THE PURCHASE PRICE AND REGISTRATION OF A CHARGE:
The successful bidder shall pay in cash the hammer price, all resulting costs, as well as those incurred prior to the auction and official newspaper notices, and all costs in the event of any challenge to the sale.
In the event of the sudden death of the successful bidder, his heirs and representatives shall be jointly and severally liable for the payment of the sums owed by him.
For any sums in respect of principal, interest and incidental costs that the successful bidder remains liable for ten days after the award of the lot, the formalities prescribed by the Act of 17 March 1909 for the preservation of the seller’s lien and the right of rescission – which are expressly reserved – shall be completed at the initiative of the seller and the judicial representative.
Notwithstanding the registration of this lien, the seller and the judicial administrator may still proceed with a resale following a void auction within the framework provided for by law.
- CANCELLATION OF REGISTRATIONS:
The cancellation of registrations pursuant to Article 151-1 of Decree No. 85-1388 of 27 December 1985 shall be the responsibility of the successful bidder.
- FAILURE TO PAY THE FULL AMOUNT:
Should the successful bidder fail to fulfil all or part of the obligations imposed on them by these terms and conditions, or to pay all or part of the hammer price and costs, the seller may resell the goods in question by way of a re-auction in accordance with the procedures prescribed by law.
If the price at the second auction is lower than that due for the first, the unsuccessful bidder shall be bound and obliged to pay the difference. Should the price at the second auction be higher than that of the first, the difference shall be paid into the judicial liquidation estate.
Under no circumstances may the unsuccessful bidder claim, either against the new successful bidder or against the judicial liquidation, the costs of sale, registration and land registry publication, or any other costs which they may have paid and which would benefit the new successful bidder; the latter shall therefore neither be required to pay them nor to account for them to anyone.
- SUBMISSION OF BIDS:
Purchasers are required to bid in increments of at least 500 euros.
The property shall be awarded to the highest bidder and the last person to bid.
- ELECTION OF DOMICILE AND JURISDICTION:
The successful bidder shall be required to elect domicile within the jurisdiction of the Commercial Court of MEAUX and to have this recorded in the auction minutes; failing which, domicile shall be deemed to have been elected by operation of law at the offices of the judicial administrator named above.
- PUBLICATION:
The successful bidder shall be required, at their own expense, to comply with the publication formalities provided for by the Acts of 17 March 1909 and 29 April 1926.
They must notify the seller or the judicial administrator of any objections and notifications regarding the sale price that they may have received at the address elected above within three days of the expiry of the objection period.
The seller and the judicial representative shall have a period of fifteen days from the date of such notification to have the said objections set aside.
- DELIVERY OF DOCUMENTS:
Upon full compliance with the terms and conditions of the auction, which are immediately enforceable, the successful bidder shall be issued with a certificate confirming their purchase and a certified true copy of these terms and conditions and the auction minutes.
VII – AMENDMENTS TO THE SPECIFICATIONS:
These specifications may be amended, where necessary, up to the time of the auction. Such amendments shall be noted in the auction minutes prior to the auction.
VIII – FILING OF THE SPECIFICATIONS:
These specifications are filed at the offices of SELARL Jérôme TRUCHETET et associés, 2 Avenue Christian Doppler, 77700 SERRIS, where they may be inspected.
And in view of all the foregoing, we have drawn up these terms and conditions, subject to all reservations, to serve and be valid in accordance with the law.
